These Terms and Conditions (“Terms”) govern your use of the Site and the purchase of any photography services, digital file downloads, or custom physical prints from Pronounce Hsu (“we,” “us,” or “our”). By accessing the Site or making a purchase, you agree to be bound by these Terms.

1. Intellectual Property and Copyright

All photographs, images, digital files, text, graphics, and other content displayed on this Site or delivered to clients are the exclusive intellectual property of Pronounce Hsu and are protected under United States and international copyright laws.

  • Ownership: Pronounce Hsu retains full copyright ownership of all imagery created, shot, or delivered. No transfer of copyright occurs upon the purchase of any digital file, print, or service unless explicitly stated in a separate, written agreement signed by both parties.

2. Digital File Downloads and Individual Licensing

When you purchase a digital file download through our webstore, you are purchasing a limited license to use that specific image.

  • Permitted Use (Individual License): The individual digital license grants you a non-exclusive, perpetual, personal use license. You may use the file for personal prints, personal social media profiles (e.g., LinkedIn, Instagram), and personal website portfolios.

  • Prohibited Use: You may not resell, sub-license, alter the structural integrity of, or use the high-resolution digital files for external commercial ventures, advertising, or third-party distribution without explicit written consent and an upgraded commercial license from us.

3. Commercial Day Rates and Institutional Usage

If you are an organization or school booking a production package (such as a Full-Day or Half-Day session):

  • Institutional License: The base production fee grants the institution a specific, restricted license to use the delivered files for internal marketing, web directories, ID badges, and official publications.

  • Distribution Restrictions: This institutional license explicitly excludes the right to distribute high-resolution, unwatermarked files to individual employees for their personal or external professional use. Individual staff members wishing to own their high-resolution files must purchase their personal digital license separately through the webstore at the designated rate (e.g., $25 per file).

4. Payment Terms, Purchases, and Invoicing

  • Webstore Transactions: All purchases made through our online store must be paid in full at the time of checkout.

  • B2B / Institutional Invoicing: For structured sessions (e.g., schools or corporate offices), payment schedules, deposits, and minimum headcount guarantees will be governed by an independent, explicitly signed service contract. Standard institutional procurement or net terms must be approved prior to the scheduled session.

5. Return, Refund, and Cancellation Policy

By completing a transaction on our Site, you acknowledge and agree to our strict All Sales Are Final policy.

  • Digital Products: Because digital assets are delivered immediately upon purchase, all sales of digital file downloads, online galleries, and digital licenses are non-refundable and cannot be cancelled or exchanged.

  • Physical Prints: All physical prints, canvases, or tangible products are custom-manufactured to order. We do not offer refunds or exchanges for change of mind, incorrect size selection, or shipping address errors.

  • Damaged Items: If a physical print arrives damaged due to transit or manufacturing defects, you must report it within seven (7) business days of delivery with photographic proof of the item and packaging to receive a replacement.

6. Limitation of Liability

Pronounce Hsu will not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the Site, the inability to download files due to third-party technical disruptions, or the physical degradation of prints over time due to improper storage or environmental conditions. Our total liability under any circumstance will not exceed the total dollar amount paid for the specific product or service in question.

7. Governing Law

These Terms and any disputes arising out of your use of the Site or purchases made through it shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.
